VERDE ONE-YEAR LIMITED PRODUCT WARRANTY MODE™ PRODUCT

At Mode™ we are proud of our product line and warranty that our products are free from defects in workmanship and material for one year from the date of purchase when used for intended purpose in a normal domestic household setting. INTRODUCTION:

The following one-year limited warranty ("Warranty") applies to the product contained in this package (the "Product") when used for personal house-hold use and in accordance with the instructions provided herein by Verde Home Products, Inc. ("Verde"). LIMITED

WARRANTY:

Verde warrants to the initial purchaser of the Product ("Purchaser") that the Product will be free from defects in material and workmanship for one (1) year from date of purchase, from Verde authorized distributor, reseller or affiliate. If a defect exists, Verde shall, at its discretion (1) repair the Product at no charge, using new or refurbished replacement parts or (2) exchange the Product with a product that is new or which has been manufactured from new or serviceable used parts and is at least functionally equivalent to the original Product. A replacement product/part assumes the remaining warranty of the original product or ninety (90) days from the date of replacement or repair, whichever provides longer coverage for the original Purchaser. When the Product or a part thereof is exchanged, any replacement item becomes Purchaser's property and the replaced item becomes Verde's property. Notwithstanding anything contained herein to the contrary this Warranty is conditioned on Purchaser's ability to provide Verde with a proof of purchase for the product in connection with which Warranty coverage is sought.

EXCLUSIONS AND LIMITATIONS:

This Limited Warranty applies only to the Product and only with respect to the initial Purchaser of the Product and is not assignable or transferable under any circumstances. This warranty does not apply: (a) to damage to the Product or any part thereof caused by accident, abuse, misuse, contact with chemicals, fire, flood, other casualty or acts of God; (b) to damage caused by service performed by anyone not authorized by Verde; or (c) regular wear and tear (including without limitation indents or abrasion). This Warranty is immediately and automatically voided in the event of misuse, abuse, unauthorized third-party attempt to repair the Product.

OBTAINING WARRANTY SERVICE:

Purchaser must promptly notify Verde Customer Service at 1-866-976-MODE or www.ModeProducts.com for further instructions on repairing the Product or having replacement parts sent. Have the model number and date code ready.

DISCLAIMERS AND LIMITATION OF LIABILITY:

VERDE MAKES NO WARRANTY, EXPRESS OR IMPLIED, OTHER THAN WHAT IS EXPRESSLY STATED IN THIS WARRANTY. CUSTOMER'S SOLE AND EXCLUSIVE REMEDY AND VERDE'S SOLE OBLIGATION HEREUNDER, SHALL BE TO REPAIR OR REPLACE AS SET FORTH ABOVE. IN NO EVENT SHALL VERDE BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE PRODUCT. IN NO EVENT SHALL VERDE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR AFFILIATES, BE LIABLE FOR ANY COSTS OR DAMAGES ARISING DIRECTLY OR INDIRECTLY FROM PURCHASER'S USE OF THE PRODUCT. THIS WARRANTY AND REMEDIES SET FORTH ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, REMEDIES AND CONDITIONS, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED. This Warranty gives you specific legal rights and you may also have other rights that vary from state to state. No representative, agent, reseller, distributor, dealer or employee of Verde is authorized to give any other warranty or to assume for Verde any other liability in connection with the sale and service of the Product. JURISDICTION: THIS WARRANTY SHALL BE CONSTRUED UNDER AND GOVERNED BY THE LAWS OF THE COMMONWEALTH OF MASSACHUSETTS WITHOUT GIVING EFFECT TO ANY CHOICE OR CONFLICT OF LAW PROVISION OR RULE (WHETHER OF THE COMMONWEALTH OF MASSACHUSETTS OR ANY OTHER JURISDICTION) THAT WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY JURISDICTION OTHER THAN THE COMMONWEALTH OF MASSACHUSETTS. PURCHASER SPECIFICALLY AND IRREVOCABLY CONSENTS TO THE PERSONAL AND SUBJECT MATTER JURISDICTION AND VENUE OF THE FEDERAL AND STATE COURTS OF THE COMMONWEALTH OF MASSACHUSETTS AND SUCH COURTS SHALL HAVE EXCLUSIVE JURISDICTION WITH RESPECT TO ALL MATTERS CONCERNING THIS WARRANTY OR THE ENFORCEMENT OF ANY OF THE FOREGOING.
